Abstracto del tema “El levantamiento del velo corporativo”

The author deals with the study of piercing the corporate veil in commercial companies, which refers to the relevant fact while it is true that limited liability company (LLC’s) as anonymous limited partners only meet the obligations owed to third parties the entity which includes a restricted basis for the contribution they have engaged in it, fulfilling the single obligation as shareholders have. In recent times, it has been developed by the doctrine (with an impact on the legislative front). The piercing of the corporative veil institution, consisting in the fact that even if by law partners have, in principle, just limited to their contribution when their conduct is detected for an alleged abuse of the law, fraud of the law, lack of trust and legal security or their performance is based on bad faith. In casuistically conditions indicated in the law, may be required to respond to those affected even with their personal assets, without finding protection in their partner’s condition.Este artículo se ocupa del estudio del levantamiento del velo corporativo en las sociedades mercantiles, que se refiere al hecho relevante de que si bien es cierto que en sociedades de responsabilidad limitada, como la anónima, los socios solamente deben responder por las obligaciones asumidas frente a terceros por el ente del que forman parte de manera limitada a la aportación que hubieren realizado en ella, en tiempos recientes se ha venido desarrollando por la doctrina (con alguna repercusión en el ámbito legislativo) la institución del descorrimiento del velo societario, consistente en el hecho de que aún y cuando por ley los socios sólo tengan en principio responsabilidad limitada a su aportación, cuando su conducta ubique supuestos de abuso de derecho, fraude a la ley, falta a la confianza y seguridad jurídica o bien su actuación sea de mala fe, en supuestos casuísticamente señalados en la ley, pueden ser obligados a responder ante los afectados aun con su patrimonio personal, y sin protección en su condición de socios
